Acceptance of Terms

By accessing and using the services provided by primestrategy AS ("Company", "we", "our", or "us"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all users of our spa equipment maintenance services, including but not limited to preventive maintenance, emergency repairs, safety inspections, and compliance audits.

Service Description

primestrategy provides professional spa equipment maintenance services including:

  • Preventive maintenance programmes and scheduled inspections
  • Emergency repair services for spa equipment failures
  • Safety inspections and compliance audits
  • Equipment performance optimisation and consultation
  • Maintenance documentation and regulatory compliance support

Customer Obligations

As a customer of primestrategy services, you agree to:

  • Provide accurate and complete information about your spa equipment and facilities
  • Grant reasonable access to equipment and facilities for maintenance and inspection
  • Follow all safety procedures and recommendations provided by our technicians
  • Pay all fees and charges in accordance with agreed payment terms
  • Notify us promptly of any equipment issues or safety concerns
  • Maintain appropriate insurance coverage for your spa facilities and equipment
  • Comply with all applicable laws and regulations regarding spa operations

Payment Terms

Payment terms for primestrategy services are as follows:

  • Service fees are due within 30 days of invoice date unless otherwise agreed
  • Emergency repair services may require immediate payment or deposit
  • Late payment charges may apply for overdue accounts
  • All prices are quoted in EUR and include applicable VAT
  • We reserve the right to suspend services for non-payment of outstanding invoices

Service Standards and Warranties

primestrategy is committed to providing high-quality maintenance services. Our service standards include:

  • Professional and qualified technicians for all maintenance work
  • Use of appropriate tools, equipment, and genuine replacement parts
  • Compliance with Norwegian safety standards and regulations
  • Detailed documentation and reporting of all maintenance activities
  • Reasonable response times for emergency service calls

We warrant our workmanship for a period of 90 days from service completion, subject to normal use and proper maintenance by the customer.

Intellectual Property

All intellectual property rights in materials provided by primestrategy, including but not limited to maintenance checklists, procedures, reports, and documentation, remain the exclusive property of primestrategy.

Customers are granted a limited, non-exclusive licence to use such materials solely in connection with the maintenance of their spa equipment. Customers may not reproduce, distribute, or create derivative works from our proprietary materials without written consent.

The primestrategy name, logo, and branding are trademarks of primestrategy AS and may not be used without express written permission.

Limitation of Liability

To the fullest extent permitted by Norwegian law, primestrategy's liability for any claims arising from or related to our services is limited as follows:

  • Our total liability shall not exceed the total amount paid by the customer for services in the 12 months preceding the claim
  • We shall not be liable for indirect, consequential, or punitive damages
  • We shall not be liable for business interruption, lost profits, or lost data
  • Our liability for equipment damage is limited to the cost of repair or replacement, up to the equipment's fair market value

These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, or other liability that cannot be excluded under Norwegian law.

Force Majeure

primestrategy shall not be liable for any failure or delay in performance of our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, labour disputes, or supply chain disruptions.

Confidentiality

primestrategy acknowledges that we may have access to confidential information about your spa operations and equipment. We agree to:

  • Maintain the confidentiality of all customer information
  • Use customer information solely for providing maintenance services
  • Implement appropriate security measures to protect confidential data
  • Not disclose customer information to third parties without consent, except as required by law

Data Protection

primestrategy is committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) and Norwegian data protection laws. Our collection, use, and protection of personal data is governed by our Privacy Policy.

Termination

Either party may terminate ongoing service agreements with reasonable notice, typically 30 days for regular maintenance contracts. primestrategy reserves the right to terminate services immediately in cases of:

  • Non-payment of outstanding invoices
  • Breach of these Terms of Service
  • Safety concerns or unsafe working conditions
  • Customer conduct that endangers our personnel or reputation

Upon termination, customers remain responsible for payment of all services provided and any outstanding invoices. primestrategy will return any customer property in our possession and cease access to customer facilities.

Governing Law

These Terms of Service are governed by and construed in accordance with Norwegian law. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Norwegian courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Dispute Resolution

We encourage customers to contact us directly to resolve any concerns about our services. If a dispute cannot be resolved through direct communication, we are willing to participate in mediation or other alternative dispute resolution processes.

Changes to Terms

primestrategy reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our website with a revised effective date. Continued use of our services after changes constitutes acceptance of the updated terms.

For significant changes that may affect existing service agreements, we will provide reasonable notice to customers and opportunity to review the updated terms.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between primestrategy and the customer regarding the use of our services. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
